ITsavvy is looking for an Attorney to support and collaborate with the legal team and senior business leaders, corporate and field operations leaders; and provide legal counsel and assistance on a wide variety of legal matters. The ideal candidate will be responsible for the collection and organization of documents and information from various cases at ITsavvy. This individual will serve as an in-house counsel, handle all complex legal matters and projects, and will advise our company on legal rights and duties.
What You’ll Do
Support the company’s merger and acquisition activities, including conducting diligence reviews, assisting with the drafting of transaction documents, and participating in post-closing legal integration.
Assist in preparing and reviewing legal documents prior to execution to accurately convey the company’s intent.
Assist in managing and maintaining the Company’s IP portfolio and business, government and other compliance requirements.
Assist counsel in corporate governance matters, public filings and internal communications.
Efficiently prepare, draft and negotiate corporate agreements, including client master sales agreements and SOWs, real estate documents, supplier contracts, and vendor contracts.
Monitor and manage litigation involving the Company, including working with counsel on behalf of the company.
Assist in responding to small claims matters and customer disputes/warranty claims.
Participate in the development and delivery of standard company documents for corporate and field operations, providing insight and input on areas such as contractual terms, regulations and negotiations.
Proactively identify company legal risks and exposures and assist in formulating and coordinating appropriate corrective actions.
Participate in special projects as assigned by Management.
Review and draft routine legal documents.
Create and maintain company legal and compliance files.
Facilitate the meeting of attorney’s deadlines by keeping organized schedules and providing timely reminders.
Conduct legal research.
Assume other duties as assigned.
What You’ll Need
Bachelor’s degree in law required
Experience as a legal secretary or assistant or paralegal
Excellent analytical and problem-solving skills
Excellent verbal and written communication skills
Ability to establish, refine and improve processes and procedures
